Terms & Conditions of Use

IMPORTANT NOTICE: Please read these Terms and Conditions carefully before using the Peoplewise platform. By accessing or using the Service, you agree to be legally bound by these Terms. If you do not agree, you must not use the Service.

1. Acceptance of Terms

By creating an account, subscribing to a plan, or otherwise accessing or using the Peoplewise platform and its associated services (the “Service”), you (the “User” or “you”) agree to be bound by these Terms and Conditions (“Terms”). These Terms constitute a legally binding agreement between you and Peoplewise (“we”, “us”, or “our”), the owner and operator of the Service.

These Terms are effective as of 28 July 2026 (the “Effective Date”) and apply to all current and future use of the Service unless superseded by an updated version in accordance with Clause 20.

If you are accepting these Terms on behalf of a company, organisation or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In such cases, references to “you” shall include that entity.

We reserve the right to amend these Terms at any time in accordance with Clause 20.

2. Description of the Service

Peoplewise is an online software platform that provides digital tools, templates, frameworks and guidance designed to support people managers in workplace communication, coaching and management practices.

The Service may include, without limitation:

  • Structured conversation guides and scripts for management interactions
  • Coaching frameworks and templates for use in one-to-one or team settings
  • Workflow support tools for common management activities such as performance check-ins, feedback conversations and development planning
  • Resource libraries, documentation and reference materials

Important: The Service is intended as a practical support tool for people managers. It does not guarantee specific outcomes in employee performance, engagement, wellbeing or any other domain. Please refer to Clause 7 (AI Disclaimer), Clause 8 (Employment and HR Disclaimer) and Clause 24 (No Warranty of Outcomes) for important limitations.

3. Eligibility

To use the Service, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into binding contracts under applicable law
  • Not be prohibited from accessing or using the Service under applicable laws or regulations

If you are registering or subscribing on behalf of an organisation or employer:

  • You represent that you have the authority to bind that organisation to these Terms
  • You confirm that your use of the Service is authorised by your organisation

All Users are responsible for ensuring that their use of the Service complies with their employer's internal policies, procedures and applicable workplace regulations. Peoplewise accepts no responsibility for any breach of employer policies arising from a User's use of the Service.

4. Accounts

To access the Service, you must create an account. By registering, you agree to:

  • Provide accurate, current and complete information at the time of registration
  • Promptly update your account information to keep it accurate and complete
  • Keep your sign-in code confidential and not share it with any third party or permit any other person to complete sign-in using your account
  • Accept full responsibility for all activity conducted through your account, whether or not authorised by you
  • Notify us immediately at hello@peoplewise.in if you suspect any unauthorised access to or use of your account

We reserve the right to suspend or terminate accounts where we have reason to believe that account information is false, inaccurate, or incomplete, or where there is evidence of unauthorised or abusive use.

5. Subscription and Payment

Note: Peoplewise does not currently charge for use of the Service — payment processing has not yet gone live, so no subscription fee has been collected from any User to date. The pricing below reflects what is already published on our website today and will take effect once paid subscriptions launch. It is set out now so that Users have advance notice of the terms that will apply.

5.1 Subscription Plans

Access to the Service is provided on a subscription basis. Two plans are currently published on our website:

  • Monthly: ₹499 per month, billed monthly, cancel any time at the end of the current billing month
  • Annual: ₹4,999 per year, billed annually, cancel any time at the end of the current annual term

Both plans include full access to the Service's features. Current plan details, including any future changes, are set out on our website at peoplewise.in or as agreed in writing at the time of purchase.

5.2 Billing and Payment

Unless otherwise agreed, subscriptions are billed on a monthly cycle commencing on the date of initial subscription. Payment is due in advance of each billing period. We use third-party payment processors to handle billing transactions. By providing payment details, you authorise us (through our payment processor) to charge the applicable subscription fee at the start of each billing period.

5.3 Taxes

All fees are stated exclusive of applicable taxes. Where Goods and Services Tax (GST) or any other applicable tax is required under Indian law or the laws of your jurisdiction, it will be added to the applicable fee and reflected in your invoice. You are responsible for any other taxes, duties or levies applicable in your jurisdiction.

5.4 Auto-Renewal

Unless you cancel your subscription before the end of the current billing period, your subscription will automatically renew for successive billing periods at the then-current subscription rate. You may cancel auto-renewal at any time through your account settings or by contacting us at hello@peoplewise.in. Cancellation takes effect at the end of the then-current billing period.

5.5 Refund Policy

Subscription fees are non-refundable, except where required by applicable law or as set out in Clause 15 (Discontinuation of Service). If you believe you have been charged in error, please contact us within 30 days of the relevant charge at hello@peoplewise.in.

5.6 Price Changes

We reserve the right to modify our subscription fees at any time in accordance with Clause 13 (Updates and Changes). We will provide at least 30 days' prior notice of any pricing changes. Continued use of the Service following the effective date of a price change constitutes acceptance of the new pricing.

5.7 Free Trial

New subscribers may be offered a free trial period of 7 days before their first charge. To start a free trial, you will be asked to provide valid payment details in advance; no charge will be made to your payment method during the trial period.

Unless you cancel before the end of the 7-day trial period, your subscription will automatically begin at the end of the trial and the applicable subscription fee will be charged to the payment method provided, in accordance with Clause 5.2 (Billing and Payment). You may cancel at any time during the trial period at no cost, through your account settings. If you cancel before the trial ends, you will not be charged.

Free trials are offered at our discretion. We reserve the right to limit eligibility for a free trial, including to one trial per person or organisation, and to withdraw or amend the free trial offer at any time in accordance with Clause 13 (Updates and Changes to the Service).

6. Acceptable Use

You agree to use the Service only for lawful purposes and in a manner consistent with these Terms. You must not:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation
  • Upload, transmit, or introduce any malicious software, viruses, worms, or harmful code into the Service
  • Attempt to reverse engineer, decompile, disassemble, or otherwise seek to derive the source code of any part of the Service
  • Resell, sublicense, redistribute or otherwise provide third parties with access to the Service without our prior written consent
  • Upload, share or transmit any content that infringes the intellectual property, privacy or other rights of any third party
  • Attempt to access any other User's account, data or personal information without authorisation
  • Use the Service to scrape, extract or harvest data from the platform by automated means
  • Engage in any conduct that disrupts, impairs or places an unreasonable burden on the infrastructure of the Service
  • Use the Service to transmit unsolicited commercial communications
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity

We reserve the right to investigate any suspected breach of this Clause and to take any action we deem appropriate, including suspension or termination of your account in accordance with Clause 14.

7. AI Disclaimer

The Service does not currently incorporate any artificial intelligence (AI) functionality. This clause will apply automatically, without further amendment, from the date any AI-assisted feature is introduced — please read it carefully.

If the Service incorporates AI functionality to generate content, suggestions, scripts, templates or other outputs to support your management activities, by using any such AI-assisted features you acknowledge and agree that:

  • AI-generated outputs are produced automatically and without human review or verification
  • Such outputs may be incomplete, inaccurate, outdated, misleading or inappropriate for your specific context
  • AI outputs should be treated as a starting point or prompt for your own thinking and judgement, not as definitive guidance
  • You are solely responsible for evaluating, editing and applying any AI-generated content before using it in any management context
  • You remain solely responsible for all management decisions and actions taken in reliance on or informed by the Service
  • Human judgement must always be exercised before implementing any suggestion generated by the Service

The Service is intended as a decision-support tool only, whether or not AI-assisted features are enabled. It does not replace professional HR advice, legal advice, employment law advice, medical or psychological support, or any other professional service. Where a situation requires professional input, you should seek independent specialist advice.

Peoplewise accepts no liability for any loss, harm or consequence arising from reliance on AI-generated outputs from the Service, if and when such outputs are made available.

8. Employment and HR Disclaimer

The Service and all content, tools, templates and outputs provided through it are intended for general informational and decision-support purposes only. Nothing in the Service or its outputs constitutes or should be relied upon as:

  • Legal advice of any kind
  • HR consultancy services
  • Industrial relations advice or representation
  • Psychological counselling or mental health support
  • Employment law advice
  • Advice on disciplinary, grievance or other formal employment processes

All management decisions — including those relating to hiring, performance management, disciplinary action, capability processes, promotion, dismissal, workplace adjustments or any other employment matter — remain entirely the User's responsibility. Peoplewise accepts no liability for any decisions made or actions taken in connection with such matters.

Where the nature of a management situation requires specialist advice, Users are strongly encouraged to consult qualified legal, HR or employment law professionals.

9. User Content

You retain ownership of any content, data, or information that you upload, input or submit to the Service (“User Content”). By uploading User Content, you grant Peoplewise a limited, non-exclusive, worldwide, royalty-free licence to:

  • Process and store your User Content for the purposes of providing the Service
  • Display your User Content back to you as part of the Service
  • Use your User Content for the purposes of monitoring, maintaining and improving the technical performance of the Service (subject to Clause 22)

This licence is granted solely for the purposes of providing and operating the Service and will not extend to any other use of your User Content. You are solely responsible for the accuracy, legality and appropriateness of any User Content you upload.

You warrant that you have all necessary rights, permissions and authorities to upload any User Content to the Service and that such content does not infringe the rights of any third party.

10. Privacy and Data Protection

We are committed to protecting the personal data of our Users. Our collection, use, storage and protection of personal data is governed by our Privacy Policy, which is available at peoplewise.in/privacy and is incorporated into these Terms by reference.

By using the Service, you acknowledge and agree that:

  • We will process personal data in accordance with our Privacy Policy and applicable data protection law, including the Digital Personal Data Protection Act 2023 (India) (“DPDP Act”) where applicable
  • We implement reasonable technical and organisational measures to protect personal data from unauthorised access, loss or misuse
  • Personal data may be stored and processed in India and, where necessary for the delivery of the Service, in other jurisdictions with appropriate safeguards in place

Where you upload information about employees or other individuals to the Service (“Third-Party Personal Data”), you confirm that:

  • You have the necessary authority, consent or lawful basis under applicable data protection law to upload and process that data
  • You will only upload the minimum data necessary for the purposes for which you are using the Service
  • You will not upload unnecessary sensitive personal data, including (without limitation) health information, financial information, information about criminal history, or any special categories of personal data, unless strictly necessary and you have a clear lawful basis for doing so

As between Peoplewise and the User, Users are the data controllers in respect of Third-Party Personal Data uploaded to the Service. Peoplewise acts as a data processor in respect of such data and will process it only in accordance with these Terms, our Privacy Policy, and our Data Processing Agreement where applicable.

11. Intellectual Property

All intellectual property rights in and to the Service, including but not limited to the software, platform architecture, branding, user interface, design, templates, content, documentation and any other materials made available through the Service, are and shall remain the exclusive property of Peoplewise or its licensors.

Subject to your compliance with these Terms and payment of applicable subscription fees, Peoplewise grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal management and people-management purposes during the term of your subscription.

This licence does not include any right to:

  • Copy, reproduce or distribute any part of the Service or its content beyond personal or internal use
  • Modify, adapt or create derivative works based on the Service
  • Use any Peoplewise branding, trademarks or trade names without prior written consent
  • Sublicense, sell or transfer your rights under this licence to any third party

Any feedback, ideas or suggestions you provide regarding the Service may be used by Peoplewise without restriction or compensation to you.

12. Availability

We aim to maintain continuous availability of the Service but do not guarantee uninterrupted, timely, secure or error-free access. Access to the Service may be temporarily unavailable as a result of:

  • Scheduled maintenance or updates (we will provide advance notice where reasonably practicable)
  • Unplanned outages or technical issues
  • Events outside our reasonable control (see Clause 18 — Force Majeure)

We shall not be liable for any loss or inconvenience resulting from any temporary unavailability of the Service, except to the extent required by applicable law.

13. Updates and Changes to the Service

We reserve the right to modify, update, enhance or change any aspect of the Service at any time, including:

  • Adding, modifying or removing features or functionality
  • Changing pricing and subscription plans (subject to the notice requirements in Clause 5.6)
  • Updating templates, content or supporting materials

We do not guarantee backward compatibility following any updates to the Service. Where a change is material and likely to significantly impact Users, we will provide reasonable notice by email or via the platform.

14. Suspension or Termination

We reserve the right to suspend or terminate your access to the Service, with or without notice, if we reasonably believe that you have:

  • Breached any of these Terms
  • Misused the platform or engaged in conduct that is harmful to other Users, Peoplewise, or third parties
  • Created or contributed to a security risk or vulnerability in the Service
  • Failed to pay applicable subscription fees within the required timeframe
  • Provided false or misleading information in connection with your account or use of the Service

You may terminate your subscription at any time by cancelling through your account settings or by notifying us at hello@peoplewise.in. Termination does not entitle you to a refund of any subscription fees already paid, except as set out in Clause 5.5 or as required by applicable law.

Upon termination, your right to access and use the Service will cease. We may retain your User Content for a period following termination in accordance with our Privacy Policy and applicable law, after which it will be deleted.

15. Discontinuation of the Service

We reserve the right, at our sole discretion, to modify, suspend or permanently discontinue the Service, or any part of it, at any time.

Where reasonably practicable, we will provide subscribers with at least 30 days' prior written notice before permanently discontinuing the Service or a material feature of the Service.

If the Service is permanently discontinued while a paid subscription remains active, we will provide a pro-rata refund for the unused portion of any prepaid subscription fees, unless otherwise agreed in writing.

We shall not be liable for any indirect, consequential or special loss arising from the discontinuation of the Service, including loss of data, loss of business or loss of profits.

16. Limitation of Liability

To the fullest extent permitted by applicable law, Peoplewise shall not be liable to you for any:

  • Indirect, incidental, special, consequential or punitive damages
  • Loss of profits, revenue, business or anticipated savings
  • Loss of data or corruption of data
  • Business interruption or loss of opportunity
  • Loss arising from reliance on AI-generated content or outputs
  • Losses arising from management decisions taken in connection with use of the Service

Our total aggregate liability to you for all claims arising out of or in connection with these Terms or your use of the Service shall not exceed the total subscription fees paid by you in the twelve (12) calendar months immediately preceding the event giving rise to the claim.

Nothing in these Terms shall limit or exclude our liability for fraud or fraudulent misrepresentation, death or personal injury caused by our negligence, or any other liability that cannot be excluded or limited under applicable law.

17. Indemnity

You agree to indemnify, defend and hold harmless Peoplewise and its officers, directors, employees, contractors and agents from and against any claims, losses, damages, liabilities, costs and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your misuse of the Service or breach of these Terms
  • Any User Content you upload or submit that is unlawful, harmful, inaccurate or infringes third-party rights
  • Any infringement of intellectual property rights caused by your actions in connection with the Service
  • Your violation of any applicable law or regulation
  • Any employment or management decision made in connection with your use of the Service

18. Force Majeure

Peoplewise shall not be liable for any failure or delay in the performance of its obligations under these Terms to the extent that such failure or delay is caused by a Force Majeure Event.

A “Force Majeure Event” means any event beyond our reasonable control, including but not limited to:

  • Internet or telecommunications outages or infrastructure failures
  • Natural disasters, earthquakes, floods or severe weather events
  • Acts of government, regulatory restrictions or changes in law
  • Cyber attacks, malicious code or data breaches not attributable to our negligence
  • Pandemics, epidemics or public health emergencies
  • Acts of war, civil unrest or terrorism

We will notify you as soon as reasonably practicable of a Force Majeure Event and take reasonable steps to resume performance as soon as possible.

19. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of India.

Subject to Clause 19.2, the parties submit to the exclusive jurisdiction of the courts located in Hyderabad, Telangana, India, for the resolution of any disputes arising under or in connection with these Terms.

Nothing in this Clause shall limit Peoplewise's right to seek injunctive or other equitable relief in any competent jurisdiction where necessary to protect its intellectual property or confidential information.

20. Changes to the Terms

We reserve the right to update or modify these Terms at any time. When we do so, we will notify you by:

  • Posting the updated Terms on our website with a revised Effective Date
  • Sending an email notification to the address associated with your account, where the changes are material

Your continued use of the Service following notification of updated Terms constitutes your acceptance of those changes. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription in accordance with Clause 14.

21. Confidentiality

You acknowledge that in the course of using the Service, you may have access to or generate content relating to your employees, colleagues or organisation that is sensitive or confidential in nature.

You agree that:

  • You will only upload confidential employee information or organisational data to the Service where you are authorised to do so by your employer and, where relevant, by the individual(s) concerned
  • You will comply with all applicable confidentiality obligations, whether arising from your employment contract, professional duties or otherwise, when using the Service
  • You will not use the Service to share, distribute or make available confidential third-party information beyond what is necessary for your authorised management activities

Peoplewise will treat your User Content as confidential in accordance with our Privacy Policy and will not disclose it to third parties except as required to provide the Service or as required by applicable law.

22. AI Learning and Model Transparency

The Service does not currently include AI features, so there is no AI model training to describe today. We are nonetheless setting out, in advance, how your data would be used if AI functionality is introduced.

If we introduce AI features, your User Content (including inputs, prompts and any information you submit to the Service) will not be used to train, fine-tune or improve our underlying AI models without your explicit consent. Inputs would be processed solely to generate outputs for your use within the Service.

We reserve the right to use aggregated, anonymised and de-identified usage data for the purposes of improving the Service, provided that such data cannot be used to identify you or any individual.

If we introduce AI features, or our data practices otherwise change in any material respect, we will notify you in accordance with Clause 20 and will provide you with the opportunity to opt out where required by applicable law.

23. Sensitive Personal Data

The Service is not designed or intended for the storage or processing of sensitive categories of personal data relating to your employees or colleagues, including (without limitation):

  • Health or medical information
  • Disability or mental health information
  • Information about pregnancy or maternity
  • Financial information beyond what is reasonably necessary for management purposes
  • Criminal records or pending prosecutions
  • Biometric or genetic data
  • Religious beliefs, political opinions or trade union membership

You should avoid uploading unnecessary sensitive personal data to the Service. Where such data must be uploaded, you are responsible for ensuring that you have a valid lawful basis for doing so under the applicable data protection law, including the DPDP Act (India), and for complying with all relevant obligations.

24. No Warranty of Outcomes

The Service is provided “as is” and “as available”. To the fullest extent permitted by applicable law, Peoplewise makes no representation, warranty or guarantee, whether express or implied, including:

  • That the Service will meet your specific requirements or expectations
  • That use of the Service will result in improved employee performance, engagement, retention or wellbeing
  • That AI-generated outputs will be accurate, complete or suitable for your situation
  • That the Service will ensure legal compliance with employment law or HR obligations in any jurisdiction
  • That the Service will result in improved business outcomes, productivity or commercial results

All warranties, representations and conditions not expressly set out in these Terms are excluded to the fullest extent permitted by applicable law.

25. Management and Employment Decisions

Users remain solely and entirely responsible for all management and employment decisions made in connection with their use of the Service. This includes, without limitation:

  • Hiring and recruitment decisions
  • Promotion and career development decisions
  • Performance management, appraisal and improvement processes
  • Disciplinary action and grievance handling
  • Dismissal, redundancy or any other termination of employment
  • Workplace adjustments, flexible working decisions and leave management

The Service may provide frameworks, templates or suggested language to support these activities, but does not make, recommend or endorse any specific decision. Peoplewise accepts no liability for the outcome of any employment or management decision made with or without reference to the Service.

26. General Provisions

26.1 Entire Agreement

These Terms, together with our Privacy Policy and any other documents incorporated by reference, constitute the entire agreement between you and Peoplewise in relation to your use of the Service and supersede all prior agreements, representations and understandings.

26.2 Severability

If any provision of these Terms is found to be unlawful, void or unenforceable, that provision shall be deemed severed from these Terms and shall not affect the validity and enforceability of the remaining provisions.

26.3 Waiver

No failure or delay by Peoplewise in exercising any right or remedy under these Terms shall constitute a waiver of that right or remedy.

26.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms in connection with a merger, acquisition or sale of assets.

26.5 Third-Party Rights

These Terms are not intended to create any rights in favour of third parties and no person other than the parties to these Terms shall have the right to enforce any of its provisions.

These Terms and Conditions should be read alongside the Peoplewise Privacy Policy and Cookie Policy. These documents together form the complete agreement governing your use of the Service.
